Common questions

Who is a beneficial owner?

The natural person who ultimately owns or controls the company — generally anyone holding or controlling 20% or more of the shares or voting rights, directly or through others.

Where must the register be kept?

In Zimbabwe, at the same place as the register of members. The company must also nominate a person resident in Zimbabwe to maintain it.

What if we don’t comply?

Non-disclosure can lead to civil penalties from the Registrar, and the company can restrict share transfers, dividends or voting until details are disclosed.
