Straight answers about registering and running a company in Zimbabwe.
Registration
Which law governs companies in Zimbabwe?
The Companies and Other Business Entities Act [Chapter 24:31], which came into force on 13 February 2020 and replaced the old Companies Act.
PBC or Private Limited Company — which should I choose?
PBCs suit small owner-run businesses; Private Limited Companies suit businesses bringing in investors or growing. Compare them here.
What documents do I need?
IDs or passports and proof of address for every director and shareholder, your registered office address and up to three name options.
How long does registration take?
Once your documents are complete, most registrations are done in about 3 working days, subject to the Registrar’s queue.
Can I register without coming to Harare?
Yes. Clear photos or scans of documents on WhatsApp or email are enough to start.
Running your company
Which forms changed under the new Act?
Directors and secretaries are now filed on Form CR6 (previously CR14). Share capital changes use Form CR9, strike-off applications use Form CR14, and beneficial owners are recorded on Form CR16.
What is an annual return?
A yearly filing with the Registrar confirming your company’s details. Missing it puts the company at risk of deregistration. More on annual returns.
What is a beneficial owner?
The real person who ultimately owns or controls a company — generally anyone with 20% or more of the shares or voting rights.
My company was registered before the online system. What now?
Re-register it on the online register to avoid being struck off.
