PBC vs Private Limited Company: Which Should You Register?

A plain comparison of Zimbabwe's two most popular business structures — ownership, admin, investors and tenders — so you register the right one first time.

When you register a business in Zimbabwe, the first decision is the structure. For most entrepreneurs it comes down to a Private Business Corporation (PBC) or a Private Limited Company. Both are registered under the Companies and Other Business Entities Act and both give you a separate legal entity. The difference is in ownership, flexibility and admin.

When a PBC makes sense

  • You own the business alone or with family or one or two partners
  • You want the protection of a registered entity with less paperwork
  • You don’t expect outside investors in the near future

When to choose a Private Limited Company

  • You plan to raise money from investors or bring in new shareholders
  • You want to issue shares to partners or staff
  • You are bidding for tenders or contracts that require a company
  • You want the most widely recognised structure for banks and corporate clients

Can I switch later?

Yes. A PBC can be converted into a company when the business grows. That said, if you already know you’ll need investors or company-only tenders, registering a Private Limited Company from the start saves a second round of paperwork.

Five questions to decide in two minutes

  • Will anyone other than me (or my family) own part of the business in the next two years?
  • Do I want to offer shares to a partner, investor or key employee?
  • Will I bid for tenders or contracts that ask for a company?
  • Do I need the structure banks and large corporate clients recognise most easily?
  • Am I happy with more yearly admin in exchange for flexibility?

If you answered yes to any of the first four, a Private Limited Company is usually the better choice. If all five are no, a PBC will likely serve you well.

Three typical examples

The cost over time

The registration fee is only part of the picture. A company has more ongoing obligations — an annual return every 12 months, statutory registers of members, directors and beneficial owners, and filings whenever directors or shareholders change. None of these is difficult, but they need to be done on time. A PBC keeps that admin lighter.

Converting a PBC later

Converting means another set of filings and new documents, and during the change you will need to update your bank, ZIMRA and any supplier registrations such as PRAZ. It is entirely doable — it simply costs time you can save by choosing the right structure at the start.

Frequently asked questions

Which is cheaper to register?

A PBC starts from US$100 and a Private Limited Company from US$130. Over time, the bigger difference is ongoing admin, which is lighter for a PBC.

Do both need annual returns?

Every registered entity has ongoing obligations with the Registrar. Companies must lodge an annual return every 12 months.

Can a PBC have directors?

A PBC is run by its members rather than a board of directors in the company sense. We’ll explain the setup for your business when you register.
